In our last post, we introduced several investment opportunities that lead to obtaining a green card (EB-5 category). Now, let’s take a closer look on the first listed option. Usually, the easiest way to fulfill EB-5 requirements is to either create a new commercial enterprise at the time of investment or purchase already existing business with providing additional changes.
New Commercial Enterprise.
New commercial enterprises are lawful for-profit entities that can take one of many different business structures. Therefore, if you like to set up a new business, you can choose this type that fits your needs the best. The choice includes corporations, limited liability companies, general partnerships, or any privately or publicly owned business structures other than non-profit organizations. All new commercial enterprises must have been established after November 29, 1990.
EB5 Investment Requirements.
After choosing the type of the new entity, there are also another steps that you have to take in order to be considered eligible under the EB-5 requirements. Namely, you must meet the following criteria:
- Investment in the amount of at least $1,000,000 or at least $500,000 if the enterprise is located in a Targeted Employment Area
- Benefit the U.S. economy by providing goods or services to U.S. markets
- Create full-time employment for at least 10 qualified U.S. employees
- Involvement in day-to-day management or in policy-making
If you decide to invest in already existing business, in addition to the above-mentioned requirements, your investment must either increase the capital of the enterprise by 40% or increase the employment base by 40% (with a minimum of 10 additional workers). You don’t have to comply with this growth obligation if you simultaneously or subsequently with the purchase of the entity provide its restructuring or reorganization. By that we don’t mean only a few adjustments in the interior or a new marketing strategy. The change should be major, so the result is a new commercial enterprise. The good example of reorganization is adding the substantial crop production to the existing livestock farm or changing the Chinese fast food bistro to the luxurious Mediterranean restaurant, where is a clear transformation in the entity’s mission and expansion in services. You can restructure the company by merging with another and as a result, a new legal entity is created.
